Introduction



These Terms and Conditions govern all services provided by AdexArk (“AdexArk”, “the Company”, “we”, “us”). By accessing our services, booking a session, or making payment, you (“the Client”) agree to be bound by these Terms.



Services Overview



AdexArk provides structured advisory, operational support, coordination, and execution services across sectors including business consulting, property oversight, logistics coordination, diaspora support, and related activities. Services may be delivered as single sessions, multi-session engagements, or ongoing project-based arrangements.





Engagement Structure



All services are delivered on a structured basis. Ad hoc or informal advisory outside defined sessions or engagements is not provided. Scope, duration, and deliverables will be defined at the point of booking or agreement.



Booking and Payment Terms



All sessions and engagements must be booked in advance. Full payment is required to confirm any booking unless otherwise agreed in writing. AdexArk reserves the right to decline or delay service delivery where payment has not been received.



Cancellations, Rescheduling and No-Shows



Clients may reschedule with a minimum of 24 hours’ notice. Rescheduling requests within 24 hours are not guaranteed. Failure to attend a scheduled session without prior notice will be treated as a completed session. AdexArk reserves the right to refuse repeated rescheduling requests.



Refund Policy



All payments are final. Refunds are not provided once a session has been delivered or where preparation has already commenced. Any exception is made solely at the discretion of AdexArk.



Scope of Advice and Limitation of Outcome



All advice and recommendations are provided based on available information at the time of engagement. AdexArk does not guarantee outcomes, results, or performance improvements. Implementation and execution remain the responsibility of the Client unless explicitly included in a separate agreement.



Client Obligations



The Client agrees to:

Provide accurate, complete, and timely information

Engage in a professional and constructive manner

Be present and prepared for scheduled sessions


Failure to do so may impact service quality and outcomes.



Communication and Conduct



All communication must remain professional. AdexArk reserves the right to terminate engagements where communication becomes abusive, inappropriate, or unproductive.



Confidentiality



All information shared during engagement will be treated as confidential and will not be disclosed to third parties without consent, except where required by law or necessary for service delivery.



Third-Party Services and Coordination



Where AdexArk engages or coordinates third-party vendors, contractors, or service providers, those parties operate independently. AdexArk does not guarantee third-party performance and shall not be liable for their actions unless expressly agreed.



Intellectual Property



All frameworks, materials, documentation, and methodologies provided by AdexArk remain its intellectual property. Clients may use such materials for internal purposes only and may not reproduce, distribute, or commercialise them without written permission.



Limitation of Liability



To the fullest extent permitted by law, AdexArk shall not be liable for any indirect, incidental, or consequential loss arising from the use of its services. Total liability, where applicable, shall not exceed the value of the service provided.



Data and Privacy



AdexArk may collect and process client information necessary for service delivery. A separate Privacy Policy governs how data is handled.



Force Majeure



AdexArk shall not be held liable for delays or failure to perform due to events beyond reasonable control, including but not limited to network outages, regulatory changes, or external disruptions.



Jurisdiction and Governing Law



These Terms shall be governed by applicable commercial and legal frameworks relevant to the nature and location of the engagement. Where necessary, jurisdiction will be determined based on the primary operating location of the service.



Amendments



AdexArk reserves the right to amend these Terms at any time. Continued use of services constitutes acceptance of the updated Terms.



Acceptance



By booking, making payment, or engaging with AdexArk, the Client confirms acceptance of these Terms and Conditions.
